1. Service Description & Subscriptions
Shrelix ERP provides an integrated, multi-tenant cloud software suite for inventory tracking, GST billing, multi-branch management, point of sale (POS), and business accounting. We provide the platform on a Software-as-a-Service (SaaS) subscription basis.
- 14-Day Free Trial: All new workspace registrations include an unrestricted 14-day free trial of our platform features. No credit card is required to initiate a trial.
- Subscription Tiers: Following trial expiration, continued service requires an active paid subscription plan (Starter, Professional, or Custom). Each plan specifies maximum allowed staff user accounts and store/branch locations.
- Billing Cycles & Renewals: Subscriptions are billed in advance on either a monthly or annual cycle. Plans automatically renew at the end of each billing cycle unless cancelled prior to renewal through your Central Portal account.
- Pricing & Taxes: All stated prices are in Indian Rupees (INR) or US Dollars (USD). Applicable Goods and Services Tax (GST) is calculated and added at checkout.
2. Customer Data Ownership & Rights
You retain full, exclusive ownership of all data, transactions, customer records, catalogs, and content entered into your Shrelix ERP workspace.
- We do not claim any intellectual property rights or ownership over your business data.
- You may export your data at any time during your active subscription in standard CSV and Excel formats using the built-in export utilities across all major modules.
- Upon voluntary account termination or non-renewal, we provide a 30-day grace period during which you can download full data archives before workspace databases are permanently purged from active production servers.
3. Account Responsibilities & Acceptable Use
You and your authorized staff are responsible for maintaining the confidentiality of your workspace login credentials.
- You agree not to use the service for any unlawful, fraudulent, or prohibited purposes under applicable Indian and international laws.
- You agree not to probe, scan, or reverse engineer platform security mechanisms or attempt to gain unauthorized access to other tenants' databases.
- You are solely responsible for ensuring that all tax rates, HSN codes, and business details entered into invoices comply with applicable tax rules and regulations.
4. Service Availability, Maintenance & SLA Target
We target an average cloud platform availability of 99.9% uptime, excluding scheduled maintenance windows.
- Scheduled maintenance operations (such as system upgrades or database indexing) are scheduled during off-peak hours whenever feasible, with prior dashboard notice.
- While we maintain automated daily backups, high-availability architecture, and redundant server nodes, we recommend exporting periodic local copies of critical financial ledgers for your internal corporate archives.
5. Third-Party Integrations & Add-ons
Certain advanced features (such as Automated WhatsApp API dispatch) require third-party service connections (e.g., Meta WhatsApp Business Cloud API).
- Customers configuring automated WhatsApp messaging must comply with Meta's Business Messaging Terms and policies.
- Any external API fees charged directly by third-party providers (such as Meta conversation fees) are separate from your Shrelix ERP subscription.
6. Intellectual Property
Shrelix Technologies retains all rights, title, and interest in and to the Shrelix ERP platform, source code, user interfaces, documentation, APIs, and trademarks. You receive a limited, revocable, non-exclusive, non-transferable subscription license to use the service for your internal business operations.
7. Termination & Cancellation
You may cancel your subscription at any time through the Central Portal. Cancellation takes effect at the end of your current paid billing period, with no further charges. Shrelix reserves the right to suspend or terminate accounts that violate acceptable use policies, engage in abusive technical activity, or fail to resolve past-due invoices following notice.
8. Limitation of Liability & Warranty Disclaimer
Shrelix ERP is provided on an "as is" and "as available" basis. To the maximum extent permitted under applicable law:
- We do not warrant that software operations will be entirely error-free or uninterrupted, though we make diligent, industry-standard efforts to resolve bugs promptly.
- In no event shall Shrelix Technologies, its directors, or employees be liable for indirect, incidental, punitive, or consequential damages, including loss of profits, business interruption, or data corruption, arising out of the use or inability to use the platform.
- Our total aggregate liability under any claim arising from this agreement shall not exceed the total subscription fees actually paid by you to Shrelix during the twelve (12) months preceding the incident.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or controversies arising under or relating to these terms shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.
